Standard Terms & Conditions of Business

Effective Date: October 30, 2026. Governing all equipment supply, installation, automation engineering, calibration, and maintenance contracts.

Commercial & Engineering Agreement

These Terms & Conditions govern all proposals, purchase orders, equipment supply agreements, and field services provided by Goodall Weighing & Automation ("Company", "we", "us") to any purchasing enterprise ("Customer", "Buyer", "Client").

1. Quotations, Pricing & Validity

All formal quotations issued by Goodall are valid for thirty (30) calendar days from the date of issuance unless explicitly stated otherwise in writing. Prices quoted are exclusive of Goods and Services Tax (GST), customs duties, transit insurance, freight, octroi, and local site handling fees, which shall be charged at prevailing statutory rates at the time of invoicing.

2. Technical Specifications & Measurement Tolerances

Our weighing scales, load cells, dynamic belt weighers, and batching systems are manufactured in compliance with international OIML (R60/R76) recommendations and Indian Legal Metrology standards. Stated measurement accuracies (e.g., ±0.25% for belt weighers, OIML Class III for static scales) are conditional upon:

  • Material operating within specified temperature, moisture, and bulk density limits.
  • Proper adherence to civil foundation tolerances and continuous rigid structural anchoring.
  • Adequate mechanical vibration isolation from adjacent uncoupled crushing or milling machinery.

3. Site Preparation & Buyer Obligations

Where on-site installation and commissioning are contracted, the Buyer shall ensure at their expense prior to the arrival of Goodall field engineers:

  • Completion of civil foundations, pits, or mounting plinths strictly per approved Goodall General Arrangement (GA) drawings.
  • Provision of stable three-phase/single-phase power with proper true earth grounding (< 2 Ohms).
  • Availability of mechanical lifting equipment (cranes, forklifts, chain hoists) and safe working scaffolding.
  • Sufficient test material (raw aggregate, clinker, grain, bags) for running full-load commissioning tests.

4. Delivery, Title & Risk of Loss

Delivery lead times communicated are estimates based on material availability at our manufacturing works. Goodall shall not be liable for delivery delays arising from force majeure, transporter disruptions, or delayed site clearance. Risk of loss passes to the Buyer upon handover to the common carrier at our works. Full title to goods remains with Goodall until total invoice payment is cleared.

5. Equipment Warranty

Goodall warrants that all new hardware, load cells, weight transmitters, and control panels manufactured or supplied by us are free from defects in material and workmanship for a period of twelve (12) months from the date of commissioning or fourteen (14) months from dispatch, whichever occurs earlier.

Warranty Exclusions: This warranty does not cover damages resulting from lightning strikes, abnormal voltage surges, gross mechanical overload beyond specified safe limits, immersion beyond certified IP ratings, chemical acid corrosion outside specified alloy scope, or unauthorized modifications performed without Goodall’s written consent.

6. Intellectual Property & Custom PLC/SCADA Software

All engineering designs, patentable mechanisms, fabrication drawings, electrical schematics, and compiled PLC/HMI source software developed by Goodall remain the exclusive intellectual property of Goodall Weighing & Automation. The Buyer is granted a non-exclusive, non-transferable runtime license solely for operational use within the designated facility. Decompilation or reverse-engineering is strictly prohibited.

7. Annual Maintenance Contracts (AMC) & Calibration

AMC terms commence on the agreed effective date following complete contract execution. Scheduled preventive visits shall be mutually agreed upon with at least seven (7) days advance notice. In the event of emergency breakdown dispatches outside normal business hours, applicable overtime engineer travel charges will apply unless explicitly covered under Comprehensive AMC clauses.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Goodall Weighing & Automation be liable for indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, plant downtime, product spoilage, or claims from third parties. Our aggregate liability under any purchase order shall in no circumstance exceed the total net purchase price actually received by Goodall for the specific equipment giving rise to the claim.

9. Governing Law & Dispute Resolution

These Terms & Conditions and any contract arising hereunder shall be governed by and construed in accordance with the substantive laws of India. Any unresolved dispute, controversy, or claim arising out of or in connection with this contract shall be submitted to the exclusive jurisdiction of the competent courts located in Kerala, India.
