1. Acceptance of Terms
These Terms and Conditions govern all commercial quotations, purchase orders, CNC machining services (lathe turning & multi-axis vertical milling), fiber laser cutting, and component fabrication provided by SAN Engineering ("the Manufacturer") to the client or purchaser ("the Customer").
By submitting a Request for Quote (RFQ), issuing a Purchase Order (PO), or accepting a quotation from SAN Engineering, the Customer agrees to be legally bound by these Terms and Conditions.
2. Quotations, Pricing & Order Acceptance
- Validity Period: Quotations issued by SAN Engineering remain valid for 30 calendar days from the date of issuance, unless explicitly stated otherwise, and are subject to raw material market fluctuations.
- Scope Basis: Quotations are calculated strictly based on the specifications, CAD 3D models, 2D PDF drawings, material grades, surface finishes, and batch quantities provided at the time of inquiry.
- Order Confirmation: An order is deemed accepted only upon written confirmation (e.g., formal Order Acknowledgment or advance payment receipt) issued by SAN Engineering.
- Modifications: Any engineering change order (ECO) or revision requested after order confirmation may result in adjusted pricing and updated lead times.
3. Engineering Specifications, CAD Files & Tolerances
Precision manufacturing requires clear dimensional agreement between both parties:
- Drawing Precedence: In the event of a discrepancy between a 3D CAD model and a 2D PDF drawing with explicit dimensional tolerances, the annotated 2D PDF drawing shall take precedence unless agreed in writing.
- Standard Tolerances: Unless tighter tolerances are specifically indicated on the drawing, general machining tolerances conform to ISO 2768-m (Medium) for CNC machining and ISO 9013 for fiber laser cutting.
- Customer Verification: The Customer is responsible for verifying that provided design files, fit clearances, and material selections are suitable for their intended functional application.
4. Production Lead Times & Delivery
- Lead Times: Estimated lead times commence upon receipt of the confirmed Purchase Order, approved production drawings, and required advance payment.
- Shipping & Transit: Deliveries are arranged via verified logistics carriers. Risk of loss passes to the Customer upon handover to the carrier or upon pickup from our facility in Kochi.
- Force Majeure: SAN Engineering shall not be held liable for delivery delays caused by events beyond reasonable control, including raw material supply shortages, power grid outages, natural disasters, or government restrictions.
5. Quality Assurance, Inspection & Claims
Every component undergoes rigorous in-process and final dimensional inspection at our quality assurance department:
- Inspection Reports: Standard dimensional inspection reports (FDIR) and raw material test certificates (MTC) can be supplied upon prior request before fabrication begins.
- Inspection Period: The Customer must inspect all delivered goods within 7 business days of delivery.
- Rejection Claims: Any non-conformance claims must be submitted in writing within 7 days, accompanied by specific measurement data and photographic evidence. If verified non-conforming, SAN Engineering will, at its discretion, rework, replace, or credit the defective items.
6. Intellectual Property & Confidentiality
Client Ownership: The Customer retains full and exclusive ownership of all proprietary rights, patents, trademarks, and copyright in all drawings, CAD files, and technical specifications submitted to SAN Engineering.
SAN Engineering Tooling & Know-How: SAN Engineering retains ownership of all internal CNC programs, fixtures, jigs, G-code routines, and manufacturing processes developed to produce the components.
7. Payment Terms & Invoicing
- Standard Terms: Unless otherwise agreed in writing for approved credit accounts, orders require an advance deposit upon PO confirmation, with the balance payable prior to dispatch or upon delivery.
- Taxes: All prices are subject to Goods and Services Tax (GST) and applicable statutory duties as per the prevailing tax laws in India.
- Default on Payment: Delayed payments may result in suspension of ongoing production or withholding of completed batches until full settlement.
8. Warranty & Limitation of Liability
SAN Engineering warrants that all fabricated parts will conform to the Customer's approved drawings and agreed specifications at the time of delivery.
To the maximum extent permitted by applicable law, SAN Engineering’s total cumulative liability for any claim arising out of or related to any order shall not exceed the total amount paid by the Customer for the specific batch or service that gave rise to the claim. In no event shall SAN Engineering be liable for indirect, incidental, or consequential damages (including loss of profits, downtime, or secondary assembly costs).
9. Governing Law & Dispute Resolution
These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes, claims, or controversies arising out of or in connection with our services shall be subject to the exclusive jurisdiction of the competent courts located in Kochi / Ernakulam, Kerala, India.
